About these Terms

These Terms of Service ("Terms") govern your use of cnrdigital.co.uk and any services provided by CNR Digital Ltd (registered in England and Wales, Company No. 17185406, registered office 2 Coppidwell Drive, Aylesbury, England, HP21 9QF).

By visiting this website or engaging CNR Digital Ltd for services, you agree to be bound by these Terms. If you do not agree, please do not use this website or our services.

These Terms should be read alongside our Privacy Policy and the Legal Information page, which form part of the agreement between you and CNR Digital Ltd.

Our Services

CNR Digital Ltd provides social media management, content creation, paid advertising strategy, and platform management services to businesses in the United Kingdom and India, delivered primarily through our internal platform BrandEngine.

Services may include, depending on the plan selected:

The specific services included in your subscription are set out in the plan you selected or agreed with us in writing. CNR Digital Ltd reserves the right to update or modify service offerings upon 30 days' notice.

BrandEngine & API Access

BrandEngine is CNR Digital Ltd's internal multi-tenant agency platform used to post to client-owned social media accounts. To use BrandEngine on your behalf, CNR Digital Ltd must be granted access to your social media accounts via each platform's official OAuth authorisation flow.

Client Account Ownership You (the client) retain full ownership of and authority over your social media accounts at all times. CNR Digital Ltd acts solely as your authorised agent under the permissions you explicitly grant via OAuth. We never take ownership of or control over your accounts.

Meta (Facebook & Instagram) Meta API

By granting access, you authorise CNR Digital Ltd to publish posts, images, and updates to your Facebook Pages and connected Instagram Business accounts, and to retrieve basic page metrics for reporting. You can revoke this access at any time via Facebook Settings → Business Integrations or Meta Business Suite.

Google Business Profile Google API

By granting access, you authorise CNR Digital Ltd to publish posts and updates to your Google Business Profile listing and to retrieve basic performance data for reporting. You can revoke this access at any time via Google Account → Security → Third-party apps with account access.

LinkedIn LinkedIn API

By granting access, you authorise CNR Digital Ltd to publish posts to your LinkedIn Company Page on your behalf and to retrieve basic engagement metrics. You can revoke this access at any time via LinkedIn Settings → Security → Permitted Services.

Upon revocation of OAuth access, or upon termination of your service agreement with CNR Digital Ltd, all automated posting to the affected accounts will immediately cease and stored access credentials will be deleted in accordance with our Privacy Policy.

CNR Digital Ltd accesses all third-party platform APIs in compliance with the respective platform's terms of service, developer policies, and applicable data protection law. Use of these APIs does not grant CNR Digital Ltd any ownership rights over your accounts, followers, data, or content.

Client Obligations

As a client of CNR Digital Ltd, you agree to:

You remain solely responsible for the accuracy of all factual claims in your approved content. CNR Digital Ltd will never invent testimonials, ratings, prices, or claims not provided or approved by you.

Acceptable Use

You must not use CNR Digital Ltd's services to publish or distribute content that:

CNR Digital Ltd reserves the right to refuse to publish content that breaches these requirements or that we reasonably consider reputationally harmful. Persistent breach of this policy may result in immediate termination of services.

Intellectual Property

Content created by CNR Digital Ltd on your behalf (posts, captions, graphics based on your branding) is produced for your use. You retain ownership of all content published to your accounts once approved and published.

CNR Digital Ltd retains all intellectual property rights in BrandEngine, our internal tools, workflows, proprietary methodologies, and the cnrdigital.co.uk website. Nothing in these Terms grants you any licence to use CNR Digital Ltd's name, logo, or platform software beyond the service relationship.

The CNR Digital name, logo, and all website content are the property of CNR Digital Ltd. All rights reserved.

Limitation of Liability

CNR Digital Ltd provides services on a reasonable-efforts basis. We do not guarantee specific reach, engagement, follower growth, or business outcomes from social media activity.

CNR Digital Ltd shall not be liable for:

Our total liability to you in connection with these Terms, whether in contract, tort, or otherwise, shall not exceed the total fees paid by you to CNR Digital Ltd in the three months preceding the event giving rise to the claim.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

Termination

Either party may terminate the service agreement at any time by giving written notice (email is acceptable). We aim to require no minimum contract period unless a specific written agreement states otherwise.

Upon termination:

CNR Digital Ltd may terminate or suspend services immediately, without notice, if you materially breach these Terms or if continued service would require us to violate applicable law or platform policies.

Changes to these Terms

CNR Digital Ltd may update these Terms from time to time to reflect changes in law, platform policies, or our services. We will provide at least 30 days' notice of material changes via email or a notice on our website.

Continued use of our services after the effective date of any update constitutes acceptance of the revised Terms. The date of the most recent update is shown at the top of this page. We recommend checking this page periodically.

Governing Law

These Terms, and any dispute or claim arising from or in connection with them (including non-contractual disputes), are governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over any dispute arising under or in connection with these Terms, unless you are a consumer resident in another part of the United Kingdom, in which case the courts of that part of the United Kingdom shall have jurisdiction.
